  • User: Any individual or entity that accesses, browses, or uses the Optimum HR platform, whether as a registered business client, an authorized representative of a client, or a non-registered visitor.

  • Service: Any feature, functionality, or support provided by Optimum HR, including human resources consulting, payroll management, employee benefits administration, compliance assistance, risk mitigation services, and access to Optimum HR’s cloud-based HCM software.

  • Platform: The website, applications, and systems through which Optimum HR delivers its services, including all tools, features, and functionalities available to both business clients and employees.

  • Content: Any material provided by Optimum HR, including but not limited to HR resources, payroll guidelines, compliance documents, educational materials, instructional videos, written resources, and any user-generated content related to Optimum HR services.

  • Account: A personal or business profile created by a User (typically business clients or their employees) on the Optimum HR platform to access and manage HR services, payroll processing, employee benefits, and other tools offered by Optimum HR.

  • Third-Party Services: Any services, platforms, or tools provided by third-party entities and integrated into Optimum HR’s offerings, such as third-party payroll processors, insurance providers, tax filing services, and benefits management platforms.

  • Subscription: The payment plan or subscription chosen by a business client to access premium features of Optimum HR’s services, including additional HR tools, expanded payroll features, and custom benefits options.

2. Acceptance of Terms

Agreement to Terms

By accessing or using the services provided by Optimum HR, you agree to comply with these Terms and Conditions. If you do not agree, do not use our platform or services.

Optimum HR may modify these Terms at any time. Changes will be posted on the platform, and continued use of the services after changes are made constitutes your acceptance of the revised Terms.

This agreement is legally binding and supersedes any prior agreements related to the use of our services.

Modifications

Optimum HR reserves the right to amend, update, or modify these Terms at any time. Users will be notified of material changes via email or platform notifications. Continued use of the platform after changes are made constitutes acceptance of the revised Terms.

3. User Eligibility

Age and Eligibility Requirements

To use the services provided by Optimum HR, you must be at least 18 years of age and capable of entering into legally binding contracts. By using our platform, you confirm that you meet these eligibility requirements.

Optimum HR reserves the right to refuse service to any user who does not meet these requirements.

Account Creation

Certain services require account registration. Users agree to:

  • Provide accurate and complete account information.
  • Maintain the confidentiality of login credentials.
  • Update account details as needed.

4. Services and Offerings

Description of Services

Optimum HR provides human resources, payroll management, employee benefits administration, compliance support, and risk mitigation services. Services may include features such as HR consulting, payroll processing, employee benefits setup, compliance documentation, and access to our cloud-based HCM software.

Access to Services

Users gain access to services upon successful registration and payment (if applicable). Each service may have specific requirements, duration, or conditions that will be disclosed prior to purchase.

Updates and Modifications

Optimum HR may modify, update, or discontinue any service, feature, or content at any time without prior notice, except as required by law or existing client agreements. Information provided through the platform is for general informational purposes only and does not constitute legal advice.

5. User Responsibilities

Compliance with Laws

Users agree to comply with all applicable laws and regulations while using the Optimum HR platform, including intellectual property laws, data protection regulations, and any other relevant local, national, or international laws.

Prohibited Actions

Users must not:

  • Share login credentials with unauthorized parties.
  • Copy, reproduce, or redistribute content without permission.
  • Engage in harassment, abuse, or discriminatory behavior.
  • Use the platform for illegal or fraudulent purposes.

Use of Content

All content provided by Optimum HR is for internal business use in connection with the Services, and not for resale, redistribution, or public commercial exploitation unless otherwise authorized in writing by Optimum HR.

6. Payment Terms and Subscriptions

Payment Methods

We accept payment methods stipulated in the CSA (Client Service Agreement). 

Pricing

All prices are clearly displayed at the time of enrollment or purchase and may vary based on service type, duration, or promotional offers. Pricing details for services such as HR consulting, payroll processing, and employee benefits are provided during registration.

Refund and Cancellation Policy

Users may request refunds according to their CSA (Client Service Agreement).

Access to purchased products or services may be granted immediately after payment is processed and confirmed.

7. Privacy and Data Protection

Optimum HR complies with data protection laws applicable to California residents, including the California Consumer Privacy Act (CCPA) and other relevant state privacy regulations.

Data Collection

We collect personal information including, but not limited to, the categories described in our Privacy Policy to manage accounts and improve our services. This information is used to provide you with the services you request, including HR, payroll, and benefits administration.

Third-Party Sharing

User data may be shared with trusted third-party service providers (such as payment processors) only for the purpose of service delivery. Optimum HR does not sell personal data to third parties. Optimum HR processes certain information as a service provider or processor on behalf of its clients, as described in the Privacy Policy. Data practices are governed by our Privacy Policy, which controls in the event of any inconsistency.

8. Intellectual Property

All platform content, including text, graphics, logos, videos, HR resources, and other materials provided by Optimum HR, is owned by Optimum HR or its licensors.

Users are granted a non-exclusive, non-transferable license to use content for internal business purposes in connection with the Services, and not for resale, redistribution, or public commercial exploitation without prior written consent from Optimum HR.

9. Term and Termination

Duration of Agreement

These Terms remain in effect as long as the user accesses or uses the Optimum HR platform and services.

Termination by Optimum HR

We may suspend or terminate access if a user:

  • Violates these Terms.
  • Engages in prohibited activities.
  • Fails to make required payments.
  • Causes harm to the platform or other users.

Termination by User

Users may cancel their account by following the instructions provided on the platform. Access to paid services may be revoked upon cancellation.

10. Limitation of Liability

Disclaimer of Warranties

Optimum HR provides its services “as is” and makes no representations or warranties of any kind, either express or implied, regarding the reliability, accuracy, or availability of the platform or services. We do not guarantee that our platform will be uninterrupted, error-free, or secure.

Limitation on Damages

To the fullest extent permitted by law, Optimum HR will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use our platform or services, even if we have been advised of the possibility of such damages. Our total liability, whether in contract, tort, or otherwise, will not exceed the amount paid by the user for the specific service giving rise to the claim. Nothing in this section limits liability where such limitation is prohibited by applicable employment, wage and hour, or privacy laws. Liabilities are governed by the CSA (Client Service Agreement), which controls in the event of any inconsistency.

11. Dispute Resolution

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Arbitration / Mediation

Except where prohibited by applicable law, any dispute, claim, or controversy between Optimum HR and a business client or registered platform user arising out of or relating to these Terms or the use of the Optimum HR platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

This arbitration provision does not apply to:

(a) claims brought by or on behalf of employees, dependents, or beneficiaries in their capacity as worksite employees;

(b) claims arising under applicable privacy, data protection, or employment laws where arbitration is not permitted or where such rights cannot be waived; or

(c) actions brought by a government agency or regulator.

Nothing in this section shall be construed to limit any individual’s rights under the California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), or other applicable privacy or employment laws.

The arbitration shall take place in California, and the decision of the arbitrator shall be final and binding to the extent permitted by law.

12. User Feedback and Reviews

Users may submit feedback and reviews provided they comply with community guidelines and do not contain unlawful or offensive content. Feedback may be used by Optimum HR for service improvement and marketing purposes in an aggregated or de-identified manner.

13. Force Majeure

Optimum HR shall not be liable for any failure or delay in performance of its services due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, wars, strikes, power failures, or other unforeseen events or circumstances. In such cases, Optimum HR will be granted an extension of time to fulfill its obligations or may suspend services temporarily.

14. Miscellaneous

Severability

If any provision of these Terms is deemed invalid, the remaining provisions remain in full force

Assignment

Optimum HR may assign its rights and obligations under these Terms to another entity.

Entire Agreement

These Terms apply only to use of the website and platform and do not replace client service agreements.
